Terms of Service

1. Acceptance of Terms

By creating an account, accessing, or using FleetAgent Pro in any way, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, you may not use the service.

If you are using FleetAgent Pro on behalf of an organisation, you represent that you have authority to bind that organisation to these terms.

FleetAgent Pro Ltd ("FleetAgent Pro", "we", "us", "our") is a company registered in England and Wales (Company No. — contact us for details).

2. Service Description

FleetAgent Pro is a cloud-based SaaS platform for fleet management. The service includes:

  • Fuel transaction tracking and analytics
  • Vehicle management and maintenance tracking
  • Driver profile management
  • Proactive alerts for anomalies and issues
  • Dashboard and reporting tools
  • CSV import for fuel card data

We may update, modify, or discontinue features at any time with reasonable notice (minimum 30 days for material changes affecting paid subscribers). We will not remove core functionality without offering alternatives or refunds.

3. Account Responsibilities

You are responsible for:

  • Accurate information: Providing truthful and current account details (name, email, organisation)
  • Security: Maintaining the confidentiality of your password and account credentials
  • Authorised access: Not sharing your login with unauthorised individuals
  • Account activity: All actions taken under your account, whether authorised by you or not

You must notify us immediately at security@fleetagent.pro if you suspect unauthorised access to your account.

4. Acceptable Use

You agree not to:

  • Use FleetAgent Pro for any unlawful purpose or illegal activity
  • Violate any laws regarding data privacy, intellectual property, or computer fraud
  • Attempt to gain unauthorised access to other users' accounts or data
  • Interfere with or disrupt the service (denial of service attacks, excessive API requests)
  • Reverse engineer, decompile, or attempt to extract source code
  • Upload malicious code, viruses, or any harmful software
  • Scrape, harvest, or collect data from other users without permission
  • Resell or redistribute access to FleetAgent Pro without written permission

Violation of acceptable use may result in immediate account suspension or termination without refund.

5. Subscription and Billing

FleetAgent Pro offers the following pricing (see our pricing page):

  • 14-day free trial: Full access to all Pro features, no credit card required. After the trial ends, your account becomes read-only unless you upgrade.
  • Pro tier: £9 per vehicle/month, up to 100 vehicles, monthly or annual billing
  • Enterprise tier: Custom pricing for larger fleets. Contact sales for a quote.

Billing terms:

  • Subscriptions renew automatically unless cancelled
  • Payment processed via Stripe (we do not store credit card details)
  • Billing occurs monthly or annually based on your selected plan
  • Price changes announced 30 days in advance (existing subscribers grandfathered for 6 months)
  • Failed payments result in a 7-day grace period, after which your account becomes read-only

Refunds: We offer pro-rated refunds for annual subscriptions cancelled within 30 days of purchase. Monthly subscriptions are not refundable but service continues until the end of the billing period. Nothing in these terms affects your statutory rights under the Consumer Rights Act 2015.

6. Data Ownership

You own your data. You retain all rights, title, and interest in the data you upload to One Fleet (vehicle records, driver profiles, fuel transactions).

By using FleetAgent Pro, you grant us a limited, non-exclusive, royalty-free licence to store, process, display, and transmit your data solely for the purpose of providing the service to you. We will not use your data for any other purpose without your explicit consent.

You can export your data in CSV format at any time from the dashboard. Upon account deletion, all your data is permanently deleted within 30 days (see our Privacy Policy for details).

7. Intellectual Property

FleetAgent Pro owns the platform. All rights, title, and interest in FleetAgent Pro (software, design, logos, trademarks, documentation) are owned by FleetAgent Pro Ltd. These terms do not grant you any ownership rights to the platform itself.

You may not copy, modify, distribute, or create derivative works based on FleetAgent Pro without our written permission.

8. Limitation of Liability

Nothing in these terms excludes or limits our liability for:

  • Death or personal injury caused by our negligence
  • Fraud or fraudulent misrepresentation
  • Any other liability that cannot be excluded or limited under the laws of England and Wales, including the Unfair Contract Terms Act 1977

Subject to the above, we shall not be liable for:

  • Indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions, downtime, or data loss
  • Errors or omissions in the service
  • Third-party actions (fuel card provider data errors, payment processor issues)

Our total aggregate liability for any claim arising from these terms or your use of FleetAgent Pro is limited to the greater of: (a) the amount you paid us in the 12 months preceding the claim, or (b) £100.

If you are a consumer, you have statutory rights under the Consumer Rights Act 2015, and nothing in these terms affects those rights.

9. Termination

You may terminate your account at any time by:

We may terminate or suspend your access if:

  • You breach these terms (especially acceptable use violations)
  • Your payment fails and you do not update payment details within 7 days
  • We are required to do so by law or regulatory authority
  • We discontinue the service (with 90 days notice and pro-rated refund)

Upon termination: You will have 30 days to export your data before permanent deletion. Prepaid subscription fees are non-refundable except as specified in section 5.

10. Governing Law and Dispute Resolution

These terms are governed by the laws of England and Wales. Any disputes arising from these terms or your use of FleetAgent Pro will be subject to the exclusive jurisdiction of the courts of England and Wales.

Before filing a claim, we encourage you to contact us at hello@fleetagent.pro to resolve disputes informally. Most disputes can be resolved through good-faith discussion.

If you are a consumer, you may have additional rights under UK consumer protection legislation, and nothing in these terms limits those statutory rights.

11. Changes to These Terms

We may update these Terms of Service from time to time to reflect changes in our practices, features, or legal requirements. Material changes will be announced via email or in-app notice at least 30 days before taking effect. Continued use of FleetAgent Pro after the effective date constitutes acceptance of the updated terms. If you do not agree to the updated terms, you may terminate your account as described in section 9.
